The problem with VC++ 6/SP3 was with the add-on developer tools for CE, not
the eMbedded tools. (I can't remember the exact name of the previous
product. Something like Embedded Developer's Toolkit or something.)

Which OS and SP level are you running? W2K with SP1 hosed the ethernet
debugging mechanisms to the point that the only thing to restore ethernet
debugging was to remove SP1. That could be part of your problem.
